Objective

Calculate multi-tier investor distributions with preferred returns, catch-up clauses, and promote splits for syndicated deals.

Prerequisites

  • Investor and Cap Table entries configured under Investors → Cap Table
  • Waterfall Structure defined (tiers, preferred returns, promotes)
  • Distributable cash flow calculated for the period

Step-by-Step Instructions

  1. 1

    Navigate to Waterfall from the left sidebar.

  2. 2

    Select your Property or Legal Entity.

  3. 3

    Enter the Total Distributable Cash for the period.

  4. 4

    Valix calculates each tier in sequence:

    • Tier 1 — Return of Capital: Pays back contributed capital to LPs.
    • Tier 2 — Preferred Return: Pays the preferred rate (e.g. 8% IRR) to LPs.
    • Tier 3 — Catch-Up: GP receives their share until the promote ratio is met.
    • Tier 4 — Promote Split: Remaining cash splits between LP and GP per the promote (e.g. 80/20, 70/30).
  5. 5

    Review the distribution breakdown per investor.

  6. 6

    Click Post Distributions to create Investor Distribution records and GL entries.

Troubleshooting Tips

Pro Tip:Waterfalls can be previewed at any amount before posting. Use this to model different cash flow scenarios.
Note:Once distributions are posted, they appear on investor K-1s and quarterly reports automatically.
